The terms that govern every engagement with GoEmpros.

This Service Agreement (the “Agreement”) is entered into between GoEmpros Marketing LLC, a Wyoming limited liability company (“GoEmpros,” “Company,” “we,” “our,” or “us”), and the individual, clinic, practice, or entity engaging our services (“Client,” “Customer,” or “you”). GoEmpros Marketing LLC provides dental clinic marketing, patient acquisition, advertising, CRM, automation, funnel, and consulting services to dental practices throughout the United States.

This Agreement sets out the terms and conditions that govern the relationship between the Company and the Client. You should read this Agreement carefully before purchasing or using any of our services. If you do not agree with any portion of this Agreement, you must not engage, purchase, or continue using our services.

You represent that you are at least 18 years of age and have the legal authority to enter into this Agreement on behalf of yourself or the entity you represent.

GoEmpros Marketing LLC offers a range of professional services designed to help dental clinics generate more consultation opportunities, improve marketing performance, and build sustainable patient acquisition systems. Depending on the engagement, services may include, but are not limited to, the following:

• Patient acquisition consulting
• Marketing consulting
• Advertising strategy
• Meta advertising management
• Facebook advertising
• Instagram advertising
• Lead generation systems
• Consultation generation systems
• Funnel development
• Landing page creation
• CRM implementation
• GoHighLevel setup
• Workflow automation
• Lead nurturing
• Email marketing
• SMS marketing
• Follow-up systems
• Reporting
• Analytics
• Content creation
• Social media management
• Technical implementation
• Conversion optimization

The specific scope, deliverables, timeline, and pricing for any given engagement are defined in a separate proposal, order form, invoice, onboarding document, or written communication agreed between the parties. GoEmpros Marketing LLC reserves the right to modify, adjust, or evolve the services offered, including methodologies, platforms, and tools, at any time to better serve Client outcomes and reflect industry best practices.

The Client agrees to pay all fees outlined in the applicable proposal, invoice, order form, or written engagement summary. Unless stated otherwise, service fees are billed in advance on a recurring monthly basis and are due upon receipt of invoice. All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which are the sole responsibility of the Client.

Advertising Spend. Any advertising budget paid to third-party platforms such as Meta, Google, TikTok, or others is separate from GoEmpros service fees, is billed directly to the Client by those platforms, and is not marked up by us. GoEmpros Marketing LLC is not responsible for advertising spend committed to active campaigns, including spend already delivered by an advertising platform.

Late Payments. Payments that are not received by the due date may be subject to late fees, interest charges at the lesser of 1.5% per month or the maximum amount permitted by law, and the suspension or termination of services. The Client remains responsible for any costs of collection, including reasonable attorneys’ fees.

No Refunds. All fees paid to GoEmpros Marketing LLC are non-refundable. This includes payments made for partial months, unused services, early termination, or services already in progress.

To ensure successful delivery of services, the Client agrees to cooperate with GoEmpros Marketing LLC in good faith. Client responsibilities include, but are not limited to:

• Providing accurate, timely, and complete information about the clinic, treatments, pricing, offers, and target audience.
• Granting the access required to operate campaigns and systems, including ad accounts, business managers, analytics, CRM platforms, domains, hosting, booking tools, and any related third-party accounts.
• Responding promptly to requests for approvals, creative review, feedback, content, photography, brand assets, or other materials needed to perform the services.
• Maintaining responsible follow-up with all inquiries, leads, and booked consultations generated through the services.
• Ensuring all information, testimonials, before-and-after content, treatment claims, pricing, and offers provided to GoEmpros Marketing LLC are accurate, lawful, and properly consented.
• Complying with all applicable laws, regulations, and professional, advertising, and dental-board requirements that govern the Client’s practice, including healthcare privacy laws such as HIPAA.

GoEmpros Marketing LLC is responsible for generating leads, inquiries, consultation requests, and acquisition opportunities through the systems we build and operate. We are not responsible for how the Client, the Client’s staff, or any third party engages, manages, contacts, qualifies, schedules, or converts those leads after they are delivered.

The Client expressly acknowledges and agrees that GoEmpros Marketing LLC shall not be liable for any outcomes, lost opportunities, lost revenue, or business impact caused by, related to, or affected by any of the following:

• Missed calls
• Unanswered inquiries
• Delayed responses
• Failure to contact leads
• Poor receptionist performance
• Poor sales processes
• Scheduling delays
• Failure to follow up
• Failure to answer phones
• Internal operational issues
• Staff performance
• Pricing decisions
• Appointment availability

Lead response time is one of the most influential factors in appointment conversion. The Client is solely responsible for ensuring leads are contacted, nurtured, scheduled, and converted in a timely and professional manner.

Advertising performance is influenced by a wide range of variables, many of which are entirely outside the control of GoEmpros Marketing LLC. The Client understands and accepts that advertising outcomes — including reach, engagement, cost per lead, consultation volume, and overall campaign performance — depend on factors such as:

• Budget size
• Competition
• Market demand
• Geography
• Platform algorithms
• Audience behavior
• Seasonality
• Economic conditions
• Creative performance
• Offer attractiveness

Smaller advertising budgets typically require longer testing periods, generate less data, and may take additional time before producing consistent performance. GoEmpros Marketing LLC provides recommendations and ongoing optimization based on available data, but does not guarantee specific outcomes from any advertising spend.

While GoEmpros Marketing LLC applies professional expertise, proven frameworks, and continuous optimization to every engagement, no ethical marketing provider can guarantee performance outcomes. The Client expressly acknowledges and agrees that GoEmpros Marketing LLC does not guarantee any of the following:

• Leads
• Appointments
• Consultations
• Bookings
• Patients
• Revenue
• Profit
• ROI
• ROAS
• Business growth
• Advertising performance
• Conversion rates
• Specific outcomes

Any benchmarks, examples, case studies, projections, forecasts, or performance data referenced on our website, in proposals, or in conversations are provided for illustrative purposes only and are not promises, warranties, or guarantees of future performance. Past results achieved for other clients do not guarantee similar results for the Client.

The services provided by GoEmpros Marketing LLC rely on a variety of third-party platforms, tools, and providers. These may include, but are not limited to, Meta (Facebook and Instagram), Google, GoHighLevel, CRM systems, email and SMS providers, hosting providers, analytics tools, payment processors, scheduling tools (such as Calendly), and other software-as-a-service platforms.

The use of these platforms is governed by their respective terms of service and privacy policies, and the Client is responsible for maintaining accounts and complying with those terms. GoEmpros Marketing LLC is not responsible for, and shall not be liable for, any of the following:

• Service outages, downtime, errors, bugs, or unavailability of any third-party platform.
• Changes to algorithms, ad policies, pricing models, account requirements, or platform features.
• Ad account disapprovals, restrictions, suspensions, or terminations imposed by a third-party platform.
• Loss of access to any third-party account, including those caused by Client action or inaction.
• Data loss, security breaches, or privacy issues arising from third-party platforms.

All proprietary materials developed, owned, or used by GoEmpros Marketing LLC — including but not limited to methodologies, frameworks, processes, templates, internal tools, software, code, documents, training materials, brand assets, and the GoEmpros name and logo — are and shall remain the exclusive intellectual property of GoEmpros Marketing LLC. No ownership, license, or rights are transferred to the Client except as expressly set forth in this Agreement.

Subject to full payment of all fees, GoEmpros Marketing LLC grants the Client a limited, non-exclusive, non-transferable, revocable license to use deliverables created specifically for the Client (such as landing pages, ad creative, automations, and CRM configurations) for the Client’s internal business use during the engagement.GoEmpros Marketing LLC retains ownership of all pre-existing materials, generalized know-how, templates, and any improvements or derivatives developed during the engagement, and may reuse such materials for other clients.

The Client retains ownership of its own brand assets, logos, copy, photography, and proprietary content provided to GoEmpros Marketing LLC, and grants GoEmpros Marketing LLC a non-exclusive license to use such materials solely to perform the services. GoEmpros Marketing LLC may reference the Client and use anonymized performance data for case studies, portfolio, and marketing purposes unless otherwise agreed in writing.

Each party may, during the course of this Agreement, receive or have access to non-public, proprietary, or confidential information of the other party (“Confidential Information”). Confidential Information includes, but is not limited to, business strategies, financial information, customer data, marketing plans, internal processes, methodologies, technical information, and any other information that is marked as confidential or that a reasonable person would understand to be confidential under the circumstances.

Each party agrees to: (a) use the other party’s Confidential Information only for the purpose of performing under this Agreement; (b) protect such Confidential Information using at least the same degree of care it uses to protect its own confidential information (and in no event less than reasonable care); and (c) not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except to employees, contractors, or advisors with a legitimate need to know and who are bound by similar confidentiality obligations.

Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, is rightfully received from a third party without restriction, is independently developed without reference to the disclosing party’s Confidential Information, or is required to be disclosed by law or court order.

The relationship between GoEmpros Marketing LLC and the Client is that of independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between the parties. Neither party has the authority to bind, represent, or otherwise act on behalf of the other party except as expressly stated in this Agreement.

GoEmpros Marketing LLC retains the right to determine the methods, processes, schedules, and personnel used to deliver the services.GoEmpros Marketing LLC may engage employees, subcontractors, freelancers, or vendors to perform any portion of the services and remains responsible for the performance of such individuals or entities. GoEmpros Marketing LLC is solely responsible for its own taxes, insurance, and employment-related obligations.

To the maximum extent permitted by applicable law, GoEmpros Marketing LLC, its members, officers, employees, contractors, agents, affiliates, and licensors shall not be liable for any:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Punitive damages
• Exemplary damages
• Lost profits or lost revenue
• Loss of business, goodwill, opportunity, or data
• Business interruption damages

The foregoing limitations apply regardless of the legal theory under which damages are sought, including contract, tort (including negligence), strict liability, or otherwise, and even if GoEmpros Marketing LLC has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of GoEmpros Marketing LLC shall be limited to the maximum extent permitted by applicable law.

The Client agrees to indemnify, defend, and hold harmless GoEmpros Marketing LLC, its members, officers, employees, contractors, agents, affiliates, and licensors from and against any and all claims, demands, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• The Client’s use of the services, deliverables, or any content provided by GoEmpros Marketing LLC.
• Any content, claims, offers, pricing, testimonials, images, videos, or other information provided or approved by the Client.
• The Client’s violation of this Agreement, applicable law, regulation, or professional standard (including any healthcare, privacy, or dental-board rule).
• The Client’s violation of any third-party right, including intellectual property, privacy, publicity, or contractual rights.
• The Client’s handling of patient information, communications with prospective patients, follow-up, scheduling, sales processes, or in-clinic operations.
• Any disputes, complaints, or claims raised by patients, prospective patients, or third parties relating to the Client’s practice.

Either party may terminate this Agreement, or any ongoing service engagement, by providing the other party with thirty (30) days’ prior written notice. Fees for the notice period remain payable, and all outstanding invoices become immediately due upon termination.

Upon termination, GoEmpros Marketing LLC will cease providing services and may, at its discretion, deliver any work in progress to the Client subject to payment of outstanding fees. Sections of this Agreement that by their nature should survive termination — including, without limitation, Fees and Payments, Intellectual Property, Confidentiality, No Guarantee of Results, Limitation of Liability, Indemnification, and Governing Law — shall survive termination.

GoEmpros Marketing LLC shall not be liable for any delay, interruption, failure to perform, or non-performance of any obligation under this Agreement caused by events beyond its reasonable control. Such events include, but are not limited to, acts of God, natural disasters, fire, flood, earthquake, pandemic or public health emergency, war, terrorism, civil unrest, riot, government action, regulatory change, labor disputes, strikes, internet or telecommunications outages, utility failures, third-party platform outages, suspensions, or policy actions, cyberattacks, supply chain disruptions, and any other event of force majeure. In such circumstances, performance shall be excused for the duration of the event and a reasonable period thereafter.

GoEmpros Marketing LLC reserves the right to modify, amend, update, or revise this Agreement at any time, in its sole discretion. The most current version will be posted on our website with a revised “Last updated” date. The Client’s continued use of the services, continued payment of invoices, or continued engagement with GoEmpros Marketing LLC after a modification constitutes acceptance of the updated Agreement. It is the Client’s responsibility to review this Agreement periodically for changes. If the Client does not agree to any modification, the Client must cease using the services and notify GoEmpros Marketing LLC in writing.

Any dispute, claim, or controversy arising out of or relating to this Agreement or the services shall be resolved exclusively in the state or federal courts located in the State of Wyoming, and both parties consent to the personal jurisdiction and venue of such courts. The parties waive any objection to venue, including any claim based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

If any provision of this Agreement is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

By engaging GoEmpros Marketing LLC, paying an invoice, purchasing services, or continuing to use our services, the Client confirms that they have read, understood, and agreed to be bound by this Service Agreement in its entirety.
