The rules of the road for working with us.

These Terms of Service (the “Terms”) are a binding agreement between you and GoEmpros Marketing (“GoEmpros,” “we,” “us,” or “our”), a marketing services company organized in the State of Wyoming, United States. By accessing or using https://goempros.com (the “Site”), booking a strategy call, submitting a form, or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

You must be at least 18 years old and have the authority to bind yourself or the entity you represent. If you are agreeing on behalf of a clinic, practice, or other entity, you represent that you have authority to do so.

GoEmpros Marketing provides patient acquisition systems and related marketing services for dental clinics, which may include acquisition funnels and landing pages, Meta Ads and Google Ads management, CRM setup and pipeline configuration, automated SMS and email follow-up, appointment booking integration, content strategy and social media management, and reporting (the “Services”). Specific deliverables, scope, timelines, fees, and additional terms for any client engagement are set out in an individual engagement agreement, statement of work, proposal, or order form executed with each client (each, an “Engagement Agreement”). In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls with respect to that client.

Information on the Site, including package descriptions and pricing, is provided for general informational purposes and is not an offer. We may modify the Services, packages, or pricing at any time. No engagement is created until an Engagement Agreement is signed or fees are paid and accepted.

Service fees are stated in the applicable Engagement Agreement and are due in advance on a recurring monthly basis unless otherwise agreed. Fees are exclusive of any applicable taxes, which are your responsibility. Late payments may accrue interest at the lesser of 1.5% per month or the maximum amount permitted by law, and we may suspend Services for non-payment.

Ad spend. Advertising spend for Meta, Google, or other platforms is separate from our Service fees, is billed by and paid directly to those platforms by the client, and is not marked up by us. The client is solely responsible for ad spend incurred, including any spend committed to active campaigns at the time of cancellation. We do not refund or recover ad spend that has been delivered by an ad platform.

No refunds. All Service fees are non-refundable once paid, including for partial months, early termination, or non-use of the Services. Either party may terminate an ongoing engagement upon thirty (30) days’ prior written notice unless a different notice period is set out in the Engagement Agreement. Fees for the notice period remain payable.

To deliver the Services, we rely on timely client cooperation. You agree to: (a) provide accurate information about your clinic, treatments, pricing, and offers; (b) respond promptly to booked consultations and inbound inquiries generated by the Services; (c) grant the access required to operate campaigns and systems (including ad accounts, business manager, analytics, CRM, domain, hosting, and booking tools); (d) ensure that any patient testimonials, before/after images, treatment claims, pricing, and offers you provide are accurate, lawful, and properly consented; (e) comply with all laws and professional, regulatory, and dental-board requirements applicable to your clinic, including advertising rules, consumer protection, and patient privacy laws (including HIPAA, PIPEDA, or other applicable healthcare privacy frameworks); and (f) maintain your own privacy policy and obtain any patient consents required for the activities you ask us to support.

You acknowledge that GoEmpros Marketing is not a healthcare provider, does not provide medical, dental, legal, or regulatory advice, and is not responsible for the clinical or operational decisions of your clinic.

Marketing outcomes depend on many factors outside our control, including market conditions, geographic competition, your pricing and treatment economics, your team’s responsiveness and follow-through on consultations, ad platform policies and pricing, creative performance, seasonal demand, and the accuracy of information you provide. While we use commercially reasonable efforts to deliver quality work, we do not guarantee any specific number of leads, booked consultations, conversion rates, cost per booking, revenue, return on ad spend, or other outcomes. Any forecasts, benchmarks, examples, or case-study figures referenced on the Site, in proposals, or in communications are illustrative and are not promises of future performance.

The Site, our methodologies, frameworks, templates, internal tools, code, copy, and all related materials, including the GoEmpros Marketing name, logo, and brand, are owned by GoEmpros Marketing or its licensors and are protected by intellectual property laws. Except for the limited right to view the Site for your informational use, no license is granted to you. You may not copy, modify, distribute, reverse engineer, scrape, or create derivative works from any part of the Site or our methodologies without our prior written consent.

Subject to full payment of fees, and unless an Engagement Agreement says otherwise, we grant clients a non-exclusive, non-transferable license to use deliverables created specifically for them (such as landing pages, ad creative, and automations) for their own internal business purposes. We retain ownership of our pre-existing materials, generalized know-how, templates, and any improvements developed during the engagement, and may reuse them for other clients. We may reference clients and use anonymized performance information for case studies and marketing unless the Engagement Agreement provides otherwise.

The Services rely on third-party platforms, including but not limited to Meta, Google, Calendly, CRM and automation tools, email and SMS providers, and analytics tools. Your use of those platforms is subject to their own terms and policies. We are not responsible for changes to, outages of, suspension of, or decisions made by those platforms, including ad account disapprovals, policy enforcement actions, algorithm changes, pricing changes, or feature removals that may affect the Services or their results.

You agree not to use the Site or Services to: (a) violate any law or third-party right; (b) submit false, misleading, or unlawful content, including deceptive advertising or unsubstantiated treatment claims; (c) infringe intellectual property or privacy rights; (d) introduce malware, attempt to gain unauthorized access, probe, scan, or test the vulnerability of any system or network; (e) interfere with the operation of the Site; (f) scrape, harvest, or use automated means to collect information from the Site; or (g) use the Services in a manner that could damage, disable, or impair our reputation or that of our other clients.

We reserve the right to suspend or terminate access for any violation of these Terms.

Each party may receive non-public information of the other that is identified as confidential or that a reasonable person would understand to be confidential (“Confidential Information”). Each party will use the other’s Confidential Information only to perform under these Terms or an Engagement Agreement and will protect it with the same care it uses for its own confidential information (and at least reasonable care). Confidential Information does not include information that is or becomes publicly available without breach, was already known without obligation of confidentiality, is independently developed, or is rightfully received from a third party.

The Site and Services are provided “as is” and “as available,” without warranties of any kind, express or implied. To the maximum extent permitted by law, GoEmpros Marketing disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as warranties arising from course of dealing or usage of trade. We do not warrant that the Site or Services will be uninterrupted, error-free, secure, or free of harmful components, or that any content or data will be accurate or reliable.

To the maximum extent permitted by law, in no event will GoEmpros Marketing, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, patients, goodwill, data, or business opportunity, arising out of or relating to the Site, the Services, or these Terms, even if advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to the Site, the Services, or these Terms will not exceed the greater of (a) the amount of service fees (excluding ad spend) actually paid by you to GoEmpros Marketing in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and are a fundamental basis of the bargain between the parties.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless GoEmpros Marketing, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) content, claims, offers, pricing, testimonials, images, or information you provide or approve, including treatment claims and patient material; (c) your violation of these Terms or any applicable law, regulation, or professional or dental-board rule; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (e) your handling of patient information or patient interactions generated through the Services.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Subject to the arbitration section below, the state and federal courts located in Wyoming will have exclusive jurisdiction over any disputes not subject to arbitration, and each party consents to personal jurisdiction and venue in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to the Site, the Services, or these Terms (a “Dispute”) will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or Consumer Arbitration Rules where applicable). The arbitration will be conducted in Wyoming, or by video or telephone where permitted, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and GoEmpros Marketing agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If a court decides that this class action waiver is unenforceable as to any claim, that claim will be severed and proceed in court while the remaining claims continue in arbitration.

Exceptions. Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information, or to enforce the Acceptable Use section.

Opt-out. You may opt out of this arbitration agreement by sending written notice to info@goempros.com within thirty (30) days of first agreeing to these Terms, identifying yourself and stating clearly that you opt out of arbitration.

We may suspend or terminate your access to the Site or the Services at any time, with or without notice, including for non-payment, breach of these Terms, or risk to the Services or third parties. Upon termination of an engagement, you will remain responsible for fees and ad spend incurred through the effective date of termination. Provisions that by their nature should survive termination (including fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and arbitration) will survive.

We may update these Terms from time to time. The “Last updated” date will reflect the latest revision. If changes are material, we will provide reasonable notice. Your continued use of the Site or Services after the effective date of any update constitutes acceptance of the revised Terms.

These Terms, together with any applicable Engagement Agreement and our Privacy Policy, constitute the entire agreement between you and GoEmpros Marketing regarding the Site and the Services. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms freely. Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, labor disputes, internet outages, platform outages or policy actions, government action, and similar events.
